NFT Law

Many people are still asking what is an NFT? What do I actually get when a purchase an NFT? NFT stands for Non-Fungible Token. A “token” is a digital asset stored on a secure, but transparent distributed blockchain ledger. “Non-fungible” means the token is unique like many other collectibles such as baseball cards and artwork. Thus, an NFT is a digital asset that is linked to a discrete and unique asset that determines the token’s value. This is distinctly different from fungible coins like Bitcoin where the millions of identical tokens are the assets themselves. It is important to note an NFT owner may not own the underlying assets. In fact, an NFT owner may not even exercise total control or enjoy exclusive access to the asset— most smart contracts do not convey these rights. Instead, the buyer is receiving an authenticated “implied license” to enjoy the NFT. This is similar purchasing a limited edition of a print or automobile except the artist’s or manufacturer’s claim only a certain number were sold is verifiable. You can still sell the print, automobile, or NFT because the right to own the asset is separate from copyright rights retained by the creator.
